The use of WWW.HOME-SERVICE.SUCCESS.COM (hereafter the “Site”) is governed by the terms and conditions set forth below. “Home Service Success” and terms like “we,” or “us” refers to HOME SERVICE SUCCESS and related entities each of which is legally separate and independent entities, which cannot obligate or bind each other in respect of third parties. We offer the Site, including all information, products, services, and educational programs and information available on it, to you, the user, conditioned upon your acceptance of all terms and conditions stated here. By accessing, using, registering, or placing an order over the Site, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety, you are not authorized to use the Site in any manner.

THIS IS A BINDING AGREEMENT. THESE TERMS AND CONDITIONS (“TERMS”) TOGETHER WITH OUR PRIVACY POLICY FORM A LEGALLY BINDING AGREEMENT (“AGREEMENT”) BETWEEN YOU (“YOU”) AND Home Service Success. THIS AGREEMENT GOVERNS YOUR ACCESS TO AND USE OF THE SITE AND THE PRODUCTS, SERVICES, AND EDUCATIONAL PROGRAMS AND INFORMATION PROVIDED BY Home Service Success, ANY ORDER YOU PLACE THROUGH THE SITE, BY TELEPHONE, OR OTHER ACCEPTED METHOD OF PURCHASE, AND YOUR USE OR ATTEMPTED USE OF THE PRODUCTS, SERVICES, AND EDUCATIONAL PROGRAMS AND INFORMATION OFFERED BY Home Service Success.

THIS AGREEMENT CONTAINS ARBITRATION AND CLASS ACTION WAIVER PROVISIONS THAT WAIVE YOUR RIGHT TO A COURT HEARING, RIGHT TO A JURY TRIAL, AND RIGHT TO PARTICIPATE IN A CLASS ACTION. ARBITRATION IS MANDATORY AND IS THE EXCLUSIVE REMEDY FOR ANY AND ALL DISPUTES UNLESS SPECIFIED BELOW IN SECTIONS 10 AND 11.

We reserve the right to change these Terms or to impose new conditions on the use of the Site, from time to time, in which case we will post the revised Terms on the Site at https://home-service.success.com/terms. By continuing to use the Site after we post any such changes, you accept the Terms, as modified.

1. Use of the Site

The Site is intended for businesses operated by adults and independent professionals. If you use the Site, you are affirming that you are an adult or the legal age of majority in your state or province of residence, operate a business or are an independent professional, and have the legal capacity to enter into a binding contract with us, and have read this Agreement and understand and agree to its terms.

2. Intellectual Property Rights and License Terms

Our Limited License to You. This Site and all of the content and materials available on the Site are the property of us and/or our affiliates or licensors, and are protected by copyright, trademark, other intellectual property laws, and all other applicable laws. The Site is provided solely for your personal noncommercial use. You may not use the Site or the content or materials available on the Site in a manner that constitutes an infringement of our rights or that has not been authorized by us. More specifically, unless explicitly authorized in these Terms or by the owner of the content or materials, you may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works from, exploit, or distribute in any manner or medium (including by email or other electronic means) any content or material from the Site. Subject to your continued strict compliance with all Terms, Home Service Success provides you a revocable, limited, non-exclusive, royalty-free, non-sublicensable, non-transferable license to use the Site. You acknowledge and agree that you do not acquire any ownership rights in any content or material protected by intellectual property laws.

Your License to Us. By posting or submitting any content or material (including, without limitation, comments, blog entries, Facebook postings, photos, and videos) to or about us via the Site, internet groups, social media venues, or to any of our staff via email, text or otherwise, you are representing: (i) that you are the owner of the content and material, or are making your posting or submission with the express consent of the owner of the content and material; and (ii) that you are an adult. In addition, when you submit or post any content or material, you are granting us, and anyone authorized by us, a royalty-free, perpetual, irrevocable, non-exclusive, unrestricted, sub-licensable, transferrable, worldwide license to use, copy, modify, transmit, sell, exploit, create derivative works from, distribute, and/or publicly perform or display such content and material, in whole or in part, in any manner or medium, now known or hereafter developed, for any purpose. The foregoing grant shall include the right to exploit any proprietary rights in such posting or submission, including, but not limited to, rights under copyright, trademark, service mark, or patent laws under any relevant jurisdiction. Also, in connection with the exercise of such rights, you grant us, and anyone authorized by us, the right to identify you as the author of any of your postings or submissions by name, email address, or screen name, as we deem appropriate in our sole discretion.

In the event that you originally create any contributions for Home Service Success, you acknowledge and agree that any such contributions shall be deemed a “work made for hire” when the work performed is within the scope of the definition of a work made for hire in Section. As such, the copyrights in those works shall belong to Home Service Success from their creation. Thus, Home Service Success shall be deemed the author and exclusive owner thereof and shall have the right to exploit any or all of the results and proceeds in any and all media, now known or hereafter devised, throughout the universe, in perpetuity, in all languages, as Home Service Success determines in its sole discretion. In the event that any of the results and proceeds of your submissions hereunder are not deemed a “work made for hire” under Section 101 of the Copyright Act, as amended, you hereby, without additional compensation, irrevocably assign, convey and transfer to Home Service Success all proprietary rights, including without limitation, all copyrights, and trademarks throughout the universe, in perpetuity in every medium, whether now known or hereafter devised, to such material and any and all right, title and interest in and to all such proprietary rights in every medium, whether now known or hereafter devised, throughout the universe, in perpetuity. Any posted material which are reproductions of prior works by you shall be co-owned by us.

You acknowledge that Home Service Success has the sole right but not the obligation to use and display any submissions, postings, or contributions of any kind and that Home Service Success may elect to cease the use and display of any such materials (or any portion thereof), at any time for any reason whatsoever.

Limitations on Linking and Framing. You may establish a hypertext link to the Site so long as the link does not state or imply any sponsorship of your site by us or by the Site. However, you may not, without our prior written permission, frame or inline link any of the content of the Site, or incorporate into another website or other service any of our material, content, or intellectual property. Nor may you otherwise attempt to access or disrupt any portion of the Site through any unlawful means.

3. Our Privacy Policy and Your Personal Information

We respect your privacy and the use and protection of your non-public, personal information. Your submission of personal information through the Site is governed by our Privacy Policy. Our Privacy Policy may be viewed at https://home-service.success.com/privacy. Home Service Success reserves the right to modify its Privacy Policy at its reasonable sole discretion from time to time. Our Privacy Policy is incorporated into this Agreement by reference.

4. Information You Provide, Registration, and Passwords

To access certain features of the Site, we may ask you to provide certain demographic information including your gender, year of birth, zip code, and country. In addition, if you elect to sign-up for a particular feature of the Site, such as chat rooms, weblogs, or bulletin boards, you may also be asked to register with us on the form provided and such registration may require you to provide personally identifiable information such as your name, address and email address. You agree to provide true, accurate, current, and complete information about yourself, and you warrant that you are not impersonating another person. If we have reasonable grounds to suspect that such information is untrue, inaccurate, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof). To use certain features of the Site or products or services that you purchase, you will need a username and password, which you will receive through the Site’s registration process. You agree to notify us immediately of any unauthorized use of your password or account or any other breach of security, and to ensure that you exit from your account at the end of each session. You agree that Home Service Success is not liable, and you will hold Home Service Success harmless, for any loss or damage arising from your failure to comply with any of the foregoing obligations. NEITHER Home Service Success NOR ITS OWNERS, OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, SUBSIDIARIES, AFFILIATES, LICENSORS, SERVICE PROVIDERS, CONTENT PROVIDERS OR AGENTS ARE FINANCIAL ADVISORS, AND NOTHING CONTAINED ON THE SITE IS INTENDED TO BE OR TO BE CONSTRUED AS FINANCIAL ADVICE.

The information contained on the Site and in any service, product, or program (including but not limited to content in any format) is based on sources and information reasonably believed to be accurate as of the time it was recorded or created. You are solely and exclusively responsible for complying with any and all applicable laws and regulations in running your business, including, but not limited to, all laws governing advertising and marketing claims, employment laws, tax laws, and all additional laws applicable to your business. Home Service Success shall have no liability for your violation of any laws. You agree to indemnify Home Service Success as set out in Section 13 below in the event that you and/or your business violates any law and a claim is threatened or asserted against Home Service Success as a result.

7. Testimonials, Reviews, and Pictures/Videos

We are pleased to hear from users and customers and welcome your comments regarding our services and products. As provided in more detail above in Section 2, Home Service Success may use testimonials, reviews, or other content in whole or in part together with the name, city, and state of the person submitting it. Testimonials may be used for any form of activity relating to Home Service Success’s services or products, in printed and online media, as Home Service Success determines in its sole and exclusive discretion. Testimonials represent the unique experience of the participants and customers submitting the testimonial, and do not necessarily reflect the experience that you and your business may have using our services or products. As set forth above in Sections 5 and 6, your and your business’ results will vary depending upon a variety of factors unique to your business and market forces beyond Home Service Success’s control.

Please also note that certain testimonial videos which appear on our Site or in our services or programs were created and produced by actual Home Service Success customers.

UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL WE, OUR SUBSIDIARY AND PARENT COMPANIES OR AFFILIATES, OR ANY OF OUR MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, EXEMPLARY, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, FEES, COSTS OR CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT, THE PRIVACY POLICY, THE USE OF, OR THE INABILITY TO USE, THE SITE, THE SERVICES OR PRODUCTS, INCLUDING, BUT NOT LIMITED TO, MESSAGING FUNCTIONS, BLOGS, COMMENTS, EDUCATIONAL MATERIALS, TRAINING PROGRAMS, STRATEGIES, BOOKS, EMAILS, OR THIRD-PARTY MATERIALS, PRODUCTS, OR SERVICES MADE AVAILABLE THROUGH THE SITE OR BY US IN ANY WAY, EVEN IF WE ARE ADVISED BEFOREHAND OF THE POSSIBILITY OF SUCH DAMAGES, FEES, COSTS OR CLAIMS. THIS INCLUDES, WITHOUT LIMITATION, ANY LOSS OF USE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, COST OF PROCUREMENT OF SUBSTITUTE SERVICES OR PRODUCTS, OR ANY OTHER INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, CONSEQUENTIAL, OR OTHER DAMAGES. THIS APPLIES REGARDLESS OF THE MANNER IN WHICH DAMAGES ARE ALLEGEDLY CAUSED, AND ON ANY THEORY OF LIABILITY, WHETHER FOR BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), WARRANTY, OR OTHERWISE. (BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN CATEGORIES OF DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN SUCH STATES, OUR LIABILITY AND THE LIABILITY OF OUR SUBSIDIARY AND PARENT COMPANIES OR AFFILIATES OR ANY OF OUR MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, OR AGENTS IS LIMITED TO THE FULLEST EXTENT PERMITTED BY SUCH STATE LAW.) YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT WE ARE NOT LIABLE FOR ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY USER.

IF, NOTWITHSTANDING THE ABOVE LIMITATIONS OF LIABILITIES, Home Service Success IS FOUND LIABLE UNDER ANY THEORY, IN NO EVENT SHALL Home Service Success’S LIABILITY TO YOU OR YOUR BUSINESS EXCEED THE AMOUNT OF THREE (3) TIMES THE PAYMENTS PAID BY YOU TO Home Service Success FOR THE MONTH PRECEDING THE DATE ON WHICH THE FACTS GIVING RISE TO A CLAIM AGAINST Home Service Success OCCURRED OR TWO-THOUSAND DOLLARS ($2,000), WHICHEVER IS GREATER.

10. Dispute Resolution by Mandatory Binding Arbitration and Class Action Waiver

PLEASE READ THIS ARBITRATION PROVISION CAREFULLY TO UNDERSTAND YOUR AND, AS APPLICABLE, YOUR BUSINESS’ RIGHTS. EXCEPT WHERE PROHIBITED BY LAW, YOU AND YOUR BUSINESS AGREE THAT ANY CLAIM THAT YOU OR YOUR BUSINESS MAY HAVE IN THE FUTURE MUST BE RESOLVED THROUGH FINAL AND BINDING CONFIDENTIAL ARBITRATION. YOU ACKNOWLEDGE AND AGREE THAT YOU AND YOUR BUSINESS ARE WAIVING THE RIGHT TO A TRIAL BY JURY. THE RIGHTS THAT YOU AND YOUR BUSINESS WOULD HAVE IF YOU WENT TO COURT, SUCH AS DISCOVERY OR THE RIGHT TO APPEAL, MAY BE MORE LIMITED OR MAY NOT EXIST. YOU AGREE THAT YOU AND YOUR BUSINESS MAY ONLY BRING A CLAIM IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF (LEAD OR OTHERWISE) OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU FURTHER AGREE THAT THE ARBITRATOR MAY NOT CONSOLIDATE PROCEEDINGS OR CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING. THERE IS NO JUDGE OR JURY IN ARBITRATION, AND COURT REVIEW OF AN ARBITRATION AWARD IS LIMITED. HOWEVER, AN ARBITRATOR CAN AWARD ON AN INDIVIDUAL BASIS THE SAME DAMAGES AND RELIEF AS A COURT (INCLUDING INJUNCTIVE AND DECLARATORY RELIEF OR STATUTORY DAMAGES) AND MUST FOLLOW THESE TERMS AS A COURT WOULD.

If you have a complaint, dispute, or controversy, you agree to first contact us at support@home-service.success.com to attempt to resolve the dispute or controversy informally. Any controversy or claim by you, including, but not limited to, controversy or claim arising out of or related to the use of the Site, any service, product, or program, these Terms, the Privacy Policy, your relationship with us, or Home Service Success communications with you, that cannot be resolved through such informal process or through negotiation within 120 days shall be resolved by binding, confidential arbitration administered by the American Arbitration Association (“AAA”), and judgment on the award rendered may be entered in any court having jurisdiction thereof. We agree that any claim we may have against you or your business will also be subject to this arbitration provision, except as provided in Section 11 below. The arbitration will be conducted by a single neutral arbitrator in the English language in Queensland Australia unless we both agree to conduct the arbitration by telephone or written submissions. The arbitrator shall be selected by agreement of the parties or if the parties cannot agree, chosen in accordance with the Rules of the AAA. The arbitration will be conducted in accordance with the provisions of the AAA’s Commercial Arbitration Rules and Procedures, in effect at the time of submission of the demand for arbitration. The AAA’s rules are available at www.adr.org or by calling 1-800-778-7879. The arbitrator shall have the exclusive and sole authority to resolve any dispute relating to the interpretation, construction, validity, applicability, or enforceability of these Terms and Conditions, the Privacy Policy, this arbitration provision, or any other terms incorporated by reference into these Terms and Conditions, and any other agreements between you and Home Service Success. The arbitrator shall have the exclusive and sole authority to determine whether any dispute is arbitrable. The arbitrator shall have the exclusive and sole authority to determine whether this arbitration agreement can be enforced against a non-signatory to this agreement and whether a non-signatory to this agreement can enforce this provision against you or Home Service Success.

Payment of all filing, administration and arbitrator fees will be governed by the AAA’s Rules. In all other respects, the parties shall each pay their own additional fees, costs, and expenses, including, but not limited to, those for any attorneys, experts, documents, and witnesses.

The arbitrator shall follow the substantive law of Queensland Australia without regard to its conflicts of laws principles. Any award rendered shall include a confidential written opinion and shall be final, subject to appeal under the Federal Arbitration Act, 9 U.S.C. §§ 1-16, as amended. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

You and Home Service Success agree that disputes will only be arbitrated on an individual basis and shall not be consolidated, on a class-wide, representative basis, or with any other arbitration(s) or other proceedings that involve any claim or controversy of any other party. You and Home Service Success expressly waive any right to pursue any class or other representative action against each other.

Failure or any delay in enforcing this arbitration provision in connection with any particular claim will not constitute a waiver of any rights to require arbitration at a later time or in connection with any other claims except that all claims must be brought within 1 year after the claim arises (the 1 year period includes the 120-day informal resolution procedures described above).

This arbitration provision sets forth the terms and conditions of our agreement to final and binding confidential arbitration and is governed by and enforceable under the Federal Arbitration Act, 9 U.S.C. §§ 1-16, as amended.

This provision survives termination of your account or relationship with Home Service Success, bankruptcy, assignment, or transfer. If the class action waiver is deemed unenforceable (i.e., unenforceability would allow arbitration to proceed as a class or representative action), then this entire arbitration provision shall be rendered null and void and shall not apply. If a portion of this arbitration provision (other than the class action waiver) is deemed unenforceable, the remaining portions of this arbitration provision shall remain in full force and effect.

YOU UNDERSTAND THAT YOU AND YOUR BUSINESS WOULD HAVE HAD A RIGHT TO LITIGATE THROUGH A COURT, TO HAVE A JUDGE OR JURY DECIDE YOUR CASE, AND TO BE PARTY TO A CLASS OR REPRESENTATIVE ACTION. HOWEVER, YOU UNDERSTAND AND AGREE TO HAVE ANY CLAIMS DECIDED INDIVIDUALLY AND ONLY THROUGH BINDING, FINAL, AND CONFIDENTIAL ARBITRATION IN ACCORDANCE WITH THIS ARBITRATION PROVISION.

11. Home Service Success Additional Remedies

In order to prevent or limit irreparable injury to Home Service Success, in the event of any breach or threatened breach by you of the provisions of this Agreement or any infringement or threatened infringement by you of the intellectual property of Home Service Success or a third-party, Home Service Success shall be entitled to seek a temporary restraining order and preliminary and permanent injunctions or other equitable relief from a court of competent jurisdiction located in Queensland, Australia restraining such breach, threatened breach, infringement, or threatened infringement. Nothing in this Agreement shall be construed as prohibiting Home Service Success from pursuing in court any other remedies available to it for such breach, threatened breach, infringement, or threatened infringement, including the recovery of monetary damages from you and your business. You and your business hereby irrevocably consent to the exclusive personal jurisdiction of, and exclusive venue in, the courts of Queensland, Australia for all such claims, and forever waive any challenge to said courts’ exclusive jurisdiction or venue.
